Terms of Service

These Terms of Service govern access to AE Vision and include customer-content, acceptable-use, and tenant-isolation commitments.

Agreement

These Terms of Service govern access to AE Vision's website, application, and related services. By accessing or using AE Vision, you agree to these terms on behalf of yourself and, if applicable, the organization you represent. These terms apply together with any signed order form, subscription agreement, data processing terms, statement of work, enterprise agreement, security addendum, product-specific terms, or other written agreement that applies to your organization. If there is a conflict between these terms and a signed written agreement, the signed written agreement controls for that customer unless that agreement expressly states otherwise.

Authorized Users

AE Vision is for authorized business use by architecture, engineering, and related project teams. You may use AE Vision only if you are invited by AE Vision or by an organization that has the right to grant you access. You are responsible for keeping your credentials secure and for all activity under your account. Your organization is responsible for managing user access, permissions, and offboarding.

Acceptable Use

Use AE Vision only for lawful business purposes. You may not misuse, disrupt, or attempt to gain unauthorized access to AE Vision, another customer's workspace, or any related system.

  • Do not use AE Vision for harassment, spam, fraud, malware, unlawful activity, or infringement.
  • Do not probe, scan, overload, reverse engineer, bypass access controls, or interfere with the service.
  • Do not upload social security numbers, payment card data, health information, or similarly regulated sensitive data unless AE Vision has agreed in writing.
  • Do not share accounts or invite users who are not authorized by your organization.

Customer Content

Your organization keeps ownership of the project data, documents, comments, records, and other content submitted to AE Vision. AE Vision may process Customer Content only to provide, secure, maintain, support, troubleshoot, or comply with legal obligations for the service, and as otherwise described in the Privacy Policy.

  • AE Vision will not sell, rent, publish, or disclose Customer Content to other customers.
  • AE Vision will not use Customer Content for advertising, marketing profiles, benchmarking, model training, generalized datasets, or unrelated product development.
  • AE Vision will not give employees or contractors access to Customer Content as part of normal operations.
  • Employee or contractor access to Customer Content is prohibited unless it is explicitly authorized by the customer, needed to resolve a customer-requested support issue, required for security or legal reasons, or otherwise stated in a signed agreement.

Tenant Isolation and Security

AE Vision is designed around isolated customer deployments rather than a shared multi-tenant data plane. Standard customer tenants are provisioned with separate tenant infrastructure, which may include a separate database, virtual machine, cloud environment, and related tenant controls unless a signed agreement or security documentation states otherwise.

  • Customer users may access only the tenant, workspace, projects, and records they are authorized to access.
  • AE Vision is designed to prevent other customers from accessing your tenant, database, project files, records, or workspace activity.
  • Customer tenants are not intended to share a customer-content database or customer-facing application runtime.
  • AE Vision maintains administrative, technical, and organizational safeguards designed to prevent unauthorized access, loss, misuse, or disclosure of Customer Content.

Confidentiality

Each party may receive non-public business, technical, financial, project, client, or security information from the other. Each party must protect the other party's confidential information and use it only for the relationship. Confidential information does not include information that is publicly available through no fault of the receiving party, already known without confidentiality restriction, independently developed, or rightfully received from a third party. Unauthorized use or disclosure of confidential information may cause irreparable harm, and the disclosing party may seek injunctive or equitable relief in addition to other available remedies. This general confidentiality section does not expand AE Vision's right to access, use, or disclose Customer Content; Customer Content is governed by the stricter commitments above.

Third-Party Services

AE Vision may use third-party service providers to host, process, transmit, store, secure, troubleshoot, or support the service. AE Vision remains responsible for its obligations under these terms, but third-party services may be subject to their own terms, limitations, and availability.

AE Vision Property

AE Vision and its licensors keep all rights in the software, product design, documentation, trademarks, and related technology. These terms do not transfer any ownership in AE Vision to you or your organization.

Subscriptions

Paid access, seat counts, invoices, renewals, and cancellation terms may be handled through an order form, subscription agreement, or other signed written agreement.

Suspension and Termination

We may suspend or terminate access if an account is used without authorization, violates these terms, creates security or legal risk, or is subject to unpaid fees under an applicable agreement. Customer admins remain responsible for removing users who should no longer have access.

Data Export and Deletion

Upon termination or expiration of access, customer access to AE Vision may end. Upon written request, AE Vision will make commercially reasonable efforts to export or delete Customer Content within a commercially reasonable period, subject to legal, security, backup, and operational retention requirements. Backup copies may persist for a limited period before deletion in the ordinary course.

Indemnification

The customer is responsible for Customer Content and for users' use of the service. The customer will defend and indemnify AE Vision from third-party claims arising from Customer Content, unauthorized use of the service, violation of these terms, or violation of applicable law.

AE Vision will provide prompt notice of the claim, allow the customer to control the defense and settlement, and provide reasonable cooperation. The customer may not settle a claim in a way that admits fault by AE Vision or imposes obligations on AE Vision without AE Vision's prior written consent.

Disclaimers

Except as expressly provided in a signed agreement, AE Vision is provided on an as-is and as-available basis. To the fullest extent allowed by law, AE Vision disclaims implied warranties and will not be liable for indirect, incidental, special, consequential, or punitive damages.

Limitation of Liability

To the fullest extent allowed by law, AE Vision's total liability arising out of or relating to the service will not exceed the amounts paid by the customer to AE Vision for the service in the twelve months before the event giving rise to the claim. This limitation applies whether the claim is based on contract, tort, negligence, strict liability, or any other legal theory. This limitation does not limit the customer's payment obligations.

Professional Review

AE Vision may provide summaries, classifications, recommendations, visual analysis, document analysis, or other generated outputs. Users are responsible for independently reviewing outputs and for obtaining review by qualified professionals where required. AE Vision does not provide architectural, engineering, legal, code-compliance, permitting, safety, or construction advice unless expressly stated in a signed agreement.

Beta Features

AE Vision may offer beta, preview, or experimental features. These features may be changed, suspended, or discontinued at any time and may be subject to additional terms. Beta features are provided for evaluation and may be less reliable than generally available features.

Governing Law

These terms are governed by the laws of New Jersey, without regard to conflict-of-law rules. Any dispute arising out of or relating to these terms or the service will be brought exclusively in the state or federal courts located in New Jersey, unless a signed agreement provides otherwise.

Changes

We may update these terms as the product and legal requirements change. If changes are material, we will take reasonable steps to notify affected customers. Continued use after an update means the updated terms apply.
